These Terms of Service (“Terms”) govern your use of consulting services provided by MKB Consulting (“MKB,” “we,” “our,” or “us”). By engaging with our services, submitting a project inquiry, or entering into a paid agreement, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our services.

1. Scope of Services
MKB Consulting provides strategy, event production, experiential marketing, and creative consulting services. Specific deliverables and timelines will be defined in individual project scopes, proposals, or service agreements provided to clients.

2. Engagement and Payment Terms

  • A 50% deposit is due upon approval of any quote or proposal, unless otherwise agreed in writing.

  • Final invoices are due Net 15 from the date of submission.

  • A 3% administrative fee will be added to all invoices to cover transaction costs.

  • Payments are accepted via ACH, wire transfer, or credit card (through secure third-party processors such as Zoho Books and Bluevine). AMEX is accepted for deposits unless otherwise noted.

Failure to pay invoices on time may result in delayed services, project hold, or termination of the agreement.

3. Vendor and Client Portals
Clients and vendors may access secure portals to view or submit billing information, onboarding forms, and project documentation. MKB uses Zoho and Bluevine to manage and safeguard all financial transactions and personal data. For more information, please review our Privacy Policy.

4. Changes and Cancellations
Changes to the scope of work must be requested in writing and may result in updated timelines or additional fees.
In the event of a cancellation:

  • Deposits are non-refundable unless otherwise stated in the service agreement.

  • Any work completed up to the point of cancellation will be invoiced and must be paid in full.

5. Intellectual Property
All materials created by MKB for a project remain the property of MKB until full payment has been received. Upon payment, ownership of deliverables may transfer to the client as specified in the project agreement.

MKB retains the right to showcase completed work in portfolios, case studies, and promotional materials unless a separate NDA or confidentiality agreement prohibits it.

6. Client Responsibilities
Clients agree to:

  • Provide clear, timely communication and decision-making

  • Supply any necessary materials or access to third-party vendors

  • Review and approve work within agreed timelines

Failure to meet these responsibilities may delay deliverables and impact outcomes.

7. Limitation of Liability
MKB shall not be liable for any indirect, incidental, or consequential damages, including but not limited to lost profits or data, arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific project in question.

8. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to its conflict of laws rules. Any disputes arising from these Terms shall be resolved in the courts of Los Angeles County, California.

9. Termination
MKB reserves the right to terminate services at any time for non-payment, breach of agreement, or other conduct deemed unprofessional or abusive. In such cases, the client remains responsible for all work completed up to the date of termination.

10. Updates to These Terms
We may update these Terms from time to time. The updated version will be posted on our website with a new effective date. Continued use of our services after any update constitutes acceptance of the new Terms.
